Terms of Service

These Terms of Service (“Terms”) govern your access to and use of the CueCart website at cuecart.app (the “Site”), your CueCart account, and your purchase of a license to the CueCart software. This Site and the CueCart software are operated by CueCart (“we”, “us”). By using the Site or buying a license, you agree to these Terms. If you do not agree, please do not use the Site.

Your use of the CueCart application itself is separately governed by the End User License Agreement (EULA) presented when you install it. These Terms cover the Site, your account and your purchase; where the two overlap, the EULA governs the software and these Terms govern the Site and transaction.

1. Eligibility & accounts

You must be able to form a binding contract to purchase a license. If you create an account, you are responsible for the accuracy of the email you provide and for activity that occurs under your account. Keep your account email secure — your licenses, orders and referral records are tied to it.

2. The software license

CueCart is licensed, not sold. A purchase grants you a limited, personal, non-transferable license to install and use the software on the number of devices your license permits, subject to the EULA. We offer a full-featured 7-day free trial so you can evaluate every feature before you buy.

3. Pricing & payment

Prices are shown on our pricing page and at checkout. A CueCart license is a one-time purchase — there is no subscription and no recurring charge. Payments are processed by our third-party payment provider, PayMongo; we do not receive or store your full card details. Applicable taxes, if any, are your responsibility. We may change prices at any time, but a change never affects a purchase you have already completed.

4. Refunds

Because we provide a complete, no-card-required 7-day trial, all purchases are final and non-refundable except where a refund is required by applicable law. Please see our Refund Policy for the full details and how to reach us about a billing problem.

5. Acceptable use

You agree not to:

• circumvent, disable or tamper with the licensing, activation or device-binding of the software, or use any unauthorized key, patch or tool to do so;
• resell, sublicense or redistribute the software except as the EULA allows;
• access the Site or our services by any automated means that places an unreasonable load on our infrastructure, or attempt to breach or probe our security;
• use the Site or software for any unlawful purpose.

6. Referral program

If you take part in the CueCart referral or affiliate program, you agree to promote CueCart honestly and not through spam, misleading claims, or self-referral. We may withhold or reverse referral credit for activity we reasonably believe to be fraudulent or abusive, and we may change or end the program at any time.

7. Intellectual property

The Site, the CueCart software, and the CueCart name and logo are owned by us and protected by intellectual-property laws. These Terms grant you no rights in our trademarks or content except the license expressly described here and in the EULA. Any audio content you load into the software remains yours — we make no claim to it.

8. Third-party services

We rely on third parties to run our service — including a payment processor (PayMongo), an email-delivery provider, and cloud hosting. Your use of those services through CueCart may be subject to their own terms. We are not responsible for third-party services we do not control.

9. Disclaimers

The Site and services are provided “as is” and “as available”, without warranties of any kind, whether express or implied, including fitness for a particular purpose. We do not warrant that the Site will be uninterrupted, error-free or secure. Warranties specific to the software are addressed in the EULA.

10. Limitation of liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special or consequential damages, or for loss of profits, revenue, data or goodwill, arising out of your use of the Site or services. Our total liability relating to the Site or a purchase will not exceed the amount you paid for the license.

11. Changes to these Terms

We may update these Terms from time to time. When we do, we will revise the “Last updated” date above. Your continued use of the Site after a change takes effect means you accept the updated Terms.

12. Governing law

These Terms are governed by the laws of the Republic of the Philippines, without regard to its conflict-of-laws rules, and you agree to the exclusive jurisdiction of the courts located in the Philippines for any dispute arising out of them.
